Notice of Change in Representative Director (Resignation), Partial Revision to “Notice regarding Appointment of Directors,” and Change of Date for 20th Annual General Meeting of Shareholders

Dream Incubator Inc. (hereafter “DI”) hereby announces that its Board of Directors on May 29, 2020 resolved to (1) change its representative director; (2) partially revise the details of the appointment of directors to be discussed at its 20th Annual General Meeting of Shareholders, described in the “Notice regarding Appointment of Directors” released on May 11, 2020; and (3) change the date of the 20th Annual General Meeting of Shareholders originally scheduled for June 15, 2020.

1．Change in Representative Director

(1) Representative director scheduled to resign

Name:     Takayoshi Yamakawa
Current position:     Representative Director and President

(2) Reason for change

Please refer to “2. Details of Changes in Appointment of Directors” below.

(3) Scheduled date of change

Mr. Yamakawa is scheduled to resign at the 20th Annual General Meeting of Shareholders to be held on June 29, 2020.

2. Details of Changes in Appointment of Directors (changes are underlined) 

(1) Director candidates (excluding directors who are Audit & Supervisory Committee members)

* Director and founder Koichi Hori and Representative Director and President Takayoshi Yamakawa are scheduled to resign at the 20th Annual General Meeting of Shareholders to be held on June 29, 2020.
* A new representative director is scheduled to be selected from the director candidates above.

(2) Reason for Changes in Appointment of Directors

As various industries are undergoing rapid structural changes driven by impact from the novel coronavirus disease, DI aims to swiftly transition to the next generation of managers, achieve further growth for the Group, and enhance corporate value.

3. Change in Date of Annual General Meeting of Shareholders

(1) Reason for change

The agenda to be discussed at the Annual General Meeting of Shareholders had to be adjusted to reflect the changes described above.

(2) Details of rescheduled Annual General Meeting of Shareholders

The new meeting date, time, and venue are as follows.

Date/Time:   June 29 (Mon), 2020; starting from 10am
Venue:   Aso-no-Ma Room, Tokai University Club, Kasumigaseki Building 35F 3-2-5 Kasumigaseki, Chiyoda-ku, Tokyo
