Dream Incubator Inc. (hereinafter, \u201cDI\u201d) has, as notified in the \u201cNotice Concerning Conclusion of Agreement on Tender Offer for Shares of a Subsidiary and Expected Extraordinary Income\u201d dated November 7, 2022, tendered all of its shares of common stock in ipet Holdings, Inc. (hereinafter, \u201cipet Holdings\u201d) to Dai-ichi Life Holdings, Inc. in acceptance of the latter\u2019s tender offer commenced on November 8, 2022 (hereinafter, \u201cTender Offer\u201d).<\/p>\n
DI hereby announces that on January 10, 2023, the Tender Offer was consummated, and that as of January 17, 2023, the commencement date of settlement for the Tender Offer, ipet Holdings will cease to be a consolidated subsidiary of DI.<\/p>\n
As notified on November 7, 2022, as a result of the consummation of the Tender Offer, DI expects to record an extraordinary gain of about 18.2 billion yen in consolidated financial statements and an extraordinary gain of about 19.3 billion yen in non-consolidated financial statements for the fiscal year ending March 31, 2023.<\/p>\n
